The PGIM Investments Corporate Governance Group is seeking a Governance Specialist to support its mutual funds and related investment management practice. The person in this position will support those who are responsible for the preparation of Board materials, drafting of minutes and other corporate governance related matters. He/She will be expected to become familiar with the technical requirements governing Fund Boards pursuant to the Investment Company Act of 1940, as amended, and to handle considerable independent responsibility for the compilation and production of voluminous Board meeting materials.
Responsibilities include, but are not limited to:
•Managing the preparation and distribution of Mutual Fund Board materials.
•Achieving proficiency in using the Diligent web-based production process utilized by PGIM Investments for Board materials production.
•Drafting time-sensitive detailed and technically complex minutes of Board of Directors’ meetings and maintaining minute books.
•Drafting memos and memoranda for inclusion in Board materials. Drafting and revising notices and agendas for quarterly and special Board meetings for several Boards.
•Maintaining detailed biographical information regarding Fund Directors and Officers for use in regulatory filings.
•Providing support for closed-end funds including production of Board materials and preparation of regulatory filings with the SEC and NYSE.
•Providing general support for special projects and initiatives for other teams within the department or an as-needed basis.
The successful candidate will:
•Have at least 2 years of business experience.
•Have a strong working knowledge of Microsoft Word and Excel as well as having a high level of comfort in learning computers and web-based applications.
•Have strong analytical, drafting and proofreading skills.
•Have a desire to learn new areas or subjects.
•Have a willingness to ask questions and search out information, and to seek information needed to complete projects and tasks.
•Have a strong attention to detail, including the ability to work independently and to work on several projects simultaneously.
•Have strong time management and project management skills.
•Have an ability to adhere to strict project deadlines while being flexible as necessary in response to changes and delays.
•Be available and able to support the work of other segments of the Department as needed.
•Be able to work well with people at all levels of the organization, as well as people outside of the organization; including frequent interaction with the Mutual Fund Directors.
•Strong communication skills, both verbal and written, are necessary, a writing sample may be requested.
•Experience with legal research methods and tools, including computerized legal databases, is preferred.
•Have a professional demeanor and be able to attend lengthy board meetings during which the person in this role is expected to take detailed and accurate notes and also interact with Directors, outside counsel, and senior representatives of Prudential’s investment businesses.
•A college degree is required for this position.
